The Corporate Paralegal supports the Legal Department in managing the corporate and regulatory infrastructure that allows Troon and its affiliated entities to operate. The role has primary responsibility for licensing and permits, corporate governance, entity management, compliance, and tax and finance related filings across a large portfolio of legal entities and golf, hospitality, and racquets facilities. The successful candidate is organized, detail driven, and comfortable managing many deadlines at once with limited supervision.
Essential Duties and Responsibilities:
Licensing and Permits
- Obtain, renew, transfer, and track alcoholic beverage licenses, business licenses, food service and health permits, and other operating licenses and permits for Troon facilities and entities.
- Prepare and file license applications, change of manager and change of ownership filings, and related supporting documents with state and local agencies.
- Maintain the licensing database in License Pro, including renewal dates, responsible persons, and filing status, and ensure no license lapses.
- Coordinate with facility general managers, outside counsel, and regulators on applications, inquiries, and inspections.
Corporate Governance
- Prepare and maintain minutes, written consents, resolutions, bylaws, operating agreements, and officer and manager appointments for Troon entities.
- Maintain corporate records and minute books, and keep governance documents current as ownership, officers, and managers change.
- Prepare incumbency certificates, good standing certificates, authority documents, and other deliverables required for transactions and financings.
Entity Management
- Form, qualify, amend, merge, convert, and dissolve entities, and track the ownership structure and organizational chart for the Troon portfolio.
- Form and maintain international entities, including coordination with foreign counsel, local registered offices, and foreign filing and annual compliance requirements.
- Maintain entity records in hCue, including officers, managers, owners, registered agents, and jurisdictions of qualification.
- Manage annual reports, registered agent relationships, franchise and annual fees, and beneficial ownership and similar filings.
- Support the Legal Department on acquisitions, new management agreements, terminations, and facility transitions that require entity or licensing actions.
Compliance
- Monitor and calendar corporate and regulatory compliance deadlines across all jurisdictions, and follow up until each is complete.
- Respond to agency notices, audits, and information requests, and escalate issues to the General Counsel promptly.
